For the purpose of this agreement, the terms "Agency" and "Advertiser" also include any of their successors, assignees, and sub-licensees. If there is no agency or intermediary involved, and the Photographer is working directly with the client, all mentions of "Agency" and "Advertiser" will refer directly to the Photographer’s client. The term "Photographs" includes all photographic materials provided by the Photographer, whether digital, physical, or electronic.
To secure the booking, a deposit of 50% is required to be paid and cleared no later than 5 days prior to the photoshoot date. The remaining balance of 50% is payable upon delivery of the contact sheet. Once the final payment is received, the editing process for the selected images will begin, and a full set of high-resolution images will be delivered via an online file transfer service, such as WeTransfer.
The entire copyright and intellectual property rights of all photographs will remain with the Photographer at all times throughout the world, unless otherwise agreed.
Upon receipt of payment, the client is granted permission to use the images for social media, website content, printed promotional materials, portfolio inclusion, award entries, brochures, and public relations purposes.
Fees for full image rights will need to be negotiated if my images are intended for use in magazines and large-scale advertising campaigns.
While uncommon, arrangements for image buyouts can be made in specific situations and will be considered on a case-by-case basis.
Cost sharing arrangements can be explored for projects that require extensive image usage. This approach allows third parties to distribute expenses fairly, making it more feasible to utilise high-quality imagery for promotional or advertising purposes.
In such cases, a cost-sharing arrangement can be established, adding 30% to the total invoice for each additional party licensing the images for marketing. The main client will receive the total invoice and can coordinate the cost distribution with the other parties.
If an extended license is issued to several parties, only the main client will have authority over all aspects of the photoshoot, including artistic direction, from the initial planning to final delivery. Other parties with particular image requests must arrange a separate commission, which will be priced accordingly.
If the Photographer incurs additional expenses due to changes to the original brief made by the Agency or Advertiser, or as a result of their requests, the Agency must approve and cover these additional costs. These will be charged at the Photographer’s standard rate, beyond any pre-agreed or estimated fees.
For trips outside the M25, a charge of £0.60 per mile will apply for the round trip. For example, if the destination is 15 miles beyond the M25, the total travel fee would be £18.
Unless a rejection fee is agreed upon in advance, there is no right to reject the Photographs on the basis of style or composition.
The Photographer asserts his moral right to be recognised as the author of his work, as well as the right to receive credit (where feasible) in accordance with Sections 77–79 of the Copyright, Designs and Patents Act 1988 or any subsequent amendments or re-enactments. Please credit ‘Alex Dale.’
Once a booking is confirmed, it is considered firm. If the booking is canceled or postponed for any reason, the Photographer will, at his/her discretion, impose a fee.
In the event that the Photographer is unable to attend the booked date due to circumstances beyond their reasonable control (e.g., sudden illness, injury, victim of crime, flooding, etc.), the Photographer will make an effort to connect the Client with another photographer. In such cases of cancellation by the Photographer, or in the very unlikely event of total photographic failure, liability will be limited to a full refund of any fees paid to the Photographer by the Client at that time.
The Photographer will indemnify the Agency and Advertiser against any legal costs, claims, or damages arising from failure to secure necessary clearances for third-party copyrights, trademarks, or designs—if the Photographer was responsible for obtaining them. If this was not agreed upon before the shoot, the Agency is responsible for securing these clearances and indemnifies the Photographer for any resulting legal costs, claims, or damages.
This agreement is governed by the laws of England and Wales.
These terms cannot be modified unless agreed in writing by both parties.
